In processes connected to a company’s special operations (M&A), the Firm assists Clients in planning and establishing the basics of the acquisition and reorganization project, providing support during negotiation, verifying and carrying out the operation up until closure.
Given the complexity and multi-disciplinary nature of such operations, the firm provides workgroups, supervised by experienced professionals, with specific skills in the necessary fields of expertise, particularly regarding contracts, taxation, employment and accounting (OIC and IAS/IFRS standards); these operations are often of an international nature, so professional expertise is also backed by language skills appropriate to conduct meetings, revise and draft documents in a number of foreign languages, as well as the possibility of relying on an established network of foreign professionals.
To support these operations two different tax, accounting and employment due diligence reports are compiled, as well as company evaluations to establish the benefits brought by operations, or to define the price of potential transactions.
Among the most frequent technical operations we have company, branch, and shares acquisitions and transfers, mergers, breakups, company conversions, bestowals, company and branch rentals and the creation of joint ventures.
